For the purpose of incorporation of a company, one is required to follow the procedure mentioned below:
1. OBTAINING DIGITAL SIGNATURE CERTIFICATE (DSC) FROM MCA
Step one is to apply for the digital signatures of the directors, also called as DSC. DSC is e-signature to help you complete the new company registration online.The Information Technology Act, 2000 has provisions for use of Digital Signatures on the documents submitted in electronic form in order to ensure the security and authenticity of the documents filed electronically.This is the secure and authentic way to submit a document electronically. As such, all filings done by the companies/LLPs under MCA-21,E-Governance programmes are required to be filed using Digital Signatures by the person so authorized to sign the documents.
2. PREPARING INC-29
For the purpose of preparing INC-29, few things are required to be prepared, namely, Director’s Identification Number (DIN number) should be mentioned therein, company name approval,Memorandum and Articles of association (MOA & AOA) which are to be drafted as per the needs and area of business of the company, MOA & AOA both are the principal documents of the company, wherein MOA is considered to be the constitution of the company and the AOA is a set of rules and regulations governing the internal affairs of the company. After this, verification of the Registered Office is to be done, in case there is no registered office then a certain time period is provided to the company for the purpose of getting a registered office. Now the final document which is to be prepared is Appointment letters and declaration, which basically puts forth the appointment of directors and other officials of the company and declaration therein.
3. FILING INC-29
Once all these documents are ready, companies are required to file the forms for company formation after which they get the certificate of incorporation from the Registrar as per the rules and regulations laid down in Company’s Act 2013 as amended
4. ISSUE OF INCORPORATION CERTIFICATE
Once the Certificate of Incorporation is obtained by a company, the PAN identification number is to be obtained along with it and thereafter a Company can open the bank account. Furthermore, a certificate for commence of business in India is also required in case of a Public Company.
5. DOCUMENTS REQUIRED TO REGISTER A COMPANY IN INDIA:
You need to supply the following documents for company registration in India.
- Passport-sized photograph
- Copy of PAN Card
- Latest Bank Statement/Telephone or Mobile Bill/Electricity or Gas Bill
- Voter’s ID/Passport
- Notarized Rental Agreement in English (If Applicable)
- No-objection Certificate from property owner (If Applicable)
- Utility Bill for the registered address.
